Welcome to the ITC Partnership Program. By submitting your application and entering into an agreement with ITC Limited, you agree to comply with the following Terms and Conditions. These terms govern your participation as a Dealer, Distributor, Super Stockist, or CNF Agent with ITC Limited. Please read these terms carefully before proceeding.

Eligibility

Agreement
– Upon acceptance, you will enter into a formal agreement with ITC Limited. This agreement will detail the specific terms of your partnership, including responsibilities, payment terms, product handling, and termination clauses.
– The agreement is subject to periodic review and may be updated to reflect changes in business practices, laws, or market conditions.

Responsibilities
4.1 ITC Responsibilities:
– ITC will provide you with the necessary support, including product training, marketing materials, and logistics assistance, to ensure successful operations.
– ITC will supply products as per the agreed terms, ensuring timely delivery and quality.

4.2 Partner Responsibilities:
– You are responsible for maintaining adequate stock levels, handling products with care, and ensuring their proper distribution or sale.
– You must adhere to ITC’s guidelines on branding, marketing, and product display.
– You are required to report sales, inventory, and other relevant data as per ITC’s reporting schedule.

5. Payment Terms
– Payment terms will be outlined in your agreement and may include credit terms, payment schedules, and penalties for late payments.
– All payments must be made in accordance with the terms agreed upon. Failure to adhere to payment terms may result in penalties, suspension of supply, or termination of the partnership.

6. Confidentiality
– Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the partnership.
– Confidential information includes, but is not limited to, pricing, product details, business strategies, and customer data.

7. Intellectual Property
– ITC retains all rights to its trademarks, logos, and other intellectual property. As a partner, you are granted a limited, non-exclusive license to use ITC’s branding solely for the purpose of promoting ITC products within the scope of the partnership.
– Any unauthorized use of ITC’s intellectual property is strictly prohibited.

8. Compliance and Ethics
– You agree to comply with ITC’s Code of Conduct and all applicable laws, including those related to anti-corruption, fair trade, and labor practices.
– Any violation of ethical standards or legal requirements may result in immediate termination of the partnership.

9. Termination
